Introduction to ethical finance
This is an introduction lecture on sustainable finance but we don’t want to start with sustainable finance itself because we will try to structure/build a road-path to shape/define the perimeter of sustainable finance moving first of all talking about the ethical finance, so we can have a historical path to understand why we can talk about sustainable finance today and what we can attend/expect in the next future.
Cioè in queste due prime lezioni cerchiamo di definire il percorso della finanza sostenibile però non partendo dalla nozione di finanza sostenibile (dandone una definizione e inquadrandone il tema), ma ci arriviamo tramite un percorso che è stato sperimentato prima che tutti parlassero di finanza sostenibile.
It’s a long time that we are somehow involved in what we can broadly (a grandi linee) defined at this stage non traditional finance, alternative finance which is known as sustainable finance today → it’s a long time that a lot of people elaborated different perspectives in this alternative finance.
Cioè oggi si parla tanto di finanza sostenibile, ma è molto tempo che comunque è un tema di discussione quale forma di finanza sostenibile → e, in primis, noi andiamo a capire come questa finanza alternativa/non tradizionale, e quindi questa materia oggetto di studio, è stata approcciata (has been approached) negli anni passati (over the past years), quando ancora non era stato definito in modo chiaro e conciso il concetto di finanza sostenibile, ma ci si limitava a parlare di una finanza non tradizionale ed ancora non avevamo la definizione compiuta di finanza sostenibile.
Dunque, in primis noi parliamo di finanza etica che, di fatto, è stata la prima dimensione di questa finanza non tradizionale e poi delineare quali sono i caratteri della finanza etica.
First of all we start defining the road to ethical finance and the main features of ethical finance and then next Monday we will go further in this road to pass to the concept of sustainable finance through the theme of impact finance (il mondo della finanza d’impatto).
Ci sono alcuni miti in merito alla finanza etica → se stessimo in aula e vi chiedessi con un test quale tipo di sensazione o idea avete della finanza etica, vedremo che ognuno di noi ha una sua idea, ma la risposta più immediata che tutti avrebbero dato fino ad un paio di anni fa → era una risposta che riguardava la finanza inclusiva, cioè una finanza che combatteva la povertà, e quindi l’esclusione finanziaria (this is the main perspective of ethical finance of a couple of years ago → a finance aimed to fight poverty and, in general, the financial exclusion → the general concept of everyone).
But today the situation is changed a lot and the poverty is still an issue, but today we have an environmental problem (in particular to the actual pandemic context) and in this way the social problem of the poverty was blacked out = è stato oscurato / came in the shade (è stato messo in ombra) than the environmental problem.
But we need to specify that the environmental problem is not new, but 20-30 years ago was introduced by a lot of experts but in the last years it’s more relevant.
So, if 2 years ago someone asked to us which was our idea about the ethical finance we said that this concept was linked to the poverty problems, while today we can say that is a topic more linked to the environmental problems.
According to our experience can we just to say that (is this enough = è abbastanza/è sufficiente) ethical finance concerns only social and environmental problems?
È sufficiente per definire la finanza come etica che essa si occupi di problemi sociali o di problemi ambientali?
La lezione di oggi è funzionale a rispondere a questa domanda!
Cioè, basta considerare sti 2 problemi e basta? No!, perciò è necessario fare un’analisi per capire perché la risposta è negativa.
Per anni molti esperti sostenevano che fosse inutile fare lezioni universitarie sulla finanza etica perché bastava riprendere il comandamento non rubare proprio perché è stata sottovalutata essendo stata ristretta a questa ideologia secondo cui la finanza dovesse fare le veci dei donatori per risolvere problematiche di povertà e ambientalistiche.
But we are talking about of ethical finance and we are not teaching ethicality or ethical behaviour, and its main aim is to understand in what consists.
Nel nostro corso noi vogliamo capire cosa rende la finanza etica, cioè quali sono le variabili per cui la finanza tradizionale può anche essere definita una finanza etica, ossia in cosa consiste l’eticità della finanza (e non un corso per parlare di etica e sostenibilità che possiamo fare in altre facoltà, perché sono prospettive di altra natura) → this is the crucial point of our course.
È un’eticità della finanza e non un’eticità del comportamento → per cui la risposta a quelli che credevano e sostenevano che bastasse il comandamento non rubare è dirgli che si sbagliano perché non è sufficiente dire che un comandamento risolve un quesito, questo comandamento sicuramente entra nella sfera dell’etica perché sottende il messaggio che rubare è un male ma in un’ottica di un’etica di comportamento, e noi nel nostro corso prescindiamo da questa etica di comportamento (etica behavioural issues), o meglio diamo per scontati certi aspetti (il prof non ci parlerà di eticità dei comportamenti, giusto degli esempi per far capire).

The road of ethical finance: a road map
CSR and CG
The picture represents the road map to reach the world of ethical finance → first of all we start with familiar topics of the economic field, which are the CSR = SIESAR (corporate social responsibility) and CG = SIGI (corporate governance), and then we will analyze the other concepts that we can see in this picture to arrive to the sustainable finance.
CG → why corporate governance? È un concetto che visto così è abbastanza → ampio (a large journey) ma lo analizziamo sotto la nostra prospettiva e non quella generale della corporate governance che si utilizza nei classici corsi di corporate governance.
In general, the CG has two main perspectives:
- The traditional concept of CG → concern the interaction-relation-conflict between property and management.
- CG nella visione classica si occupa di questo conflitto-interazione → la con ipotesi di conflitto di interessi tra proprietà e management.
- While in the modern vision → extends the vision/perspective with a more complex aspect which consists in the interaction-relation between shareholders and stakeholders (which means more than property and management).
- La visione moderna della CG non guarda solo al dilemma nel rapporto tra management e proprietà ma tra shareholders e stakeholders, con questi ultimi si intendono gli azionisti-proprietà e tanti altri soggetti che rientrano nel più ampio concetto di stakeholders che sono portatori di interesse nei cfr dell’impresa (i dipendenti dell’impresa, il governo locale, centrale-nazionale, fornitori, clienti ecc….).
We can divide the stakeholders in two types:
- Internal stakeholders → the workers (lavoratori dipendenti) are an example.
- External stakeholders → all the people who are connected to the activity of the enterprise, ossia soggetti collegati più o meno direttamente all’impresa (più collegati → come i fornitori ed i clienti; meno collegati → ad esempio i cittadini che abitano nel circondario della sede principale o delle varie sedi dell’impresa).
We start from these two prospectives because this modern vision of the CG give us much to do than the traditional vision → because when u focus ur attention on stakeholders in general and not only to the property and the management you do an important first step which means the passage from the traditional vision which is very old to a modern vision to make business.
Infact, if we consider the main goals of each kind of them we can say that:
- Shareholders → main goal is the profit (the main driver = determinante principale del tuo business) → so if u pay attention only on the shareholders u need to satisfy this target.
- Stakeholders → while if u pass from share to stakeholders u are constrict to change ur main drive, and is crucial to say that it depends on the kind of stakeholders (ex: workers focus on the sustainability of their job, the profit is important in this sense because profitability means preserve ur job or it’s better to say that u don’t want to lose it → make profit means economical stability of the enterprise and capacity to create economic value; but workers have other goals like the job satisfaction → which means to stay good when they work and this can be translate in a single expression which is comfortable work).
- Another kind of stakeholders are the citizens which live in the area of the enterprise → in particular negative externalities like pollution, acoustic sounds, decay and which contrasts with the aim of the profit → this fact is linked to the fact that they are not interested to the profit, but they pay attention on other goals).
All these things are examples to understand how today it’s important the relation between shareholders and stakeholders → because the entrepreneur needs to pay attention not only on the financial dimensions but also to the non financial dimensions.
So, we can say that the modern vision of CG is wider than the traditional vision, because the modern one focuses on many dimensions (also non financial dimensions) and not only to the financial dimension which is the only dimension that we can find in the traditional vision.
What we say about the CG is confirmated with the acronym of ESG which means:
ESG = environment, social and governance → la governance centra perché è un elemento primario e funzionale alla E di environment ed alla S di social perché è l’elemento principale che mi permette di guardare alle non financial dimensions.
If i don’t have a governance which doesn’t look to the non financial dimensions it’s impossible to put in place (dar luogo/metter in piedi) – talk about sustainable finance → cioè se non ho una governance che considera il rapporto tra shareholders e stakeholders, e quindi non pone attenzione anche alle non financial dimensions, e rende questo rapporto tra shareholders and stakeholders funzionale alla finanza sostenibile, allora non posso parlare di finanza sostenibile.
Non potrò mai mettere in piedi qualcosa di finanza sostenibile se non considero la governance che è cruciale e questa affermazione origina dalla modern vision della CG!
Obviously, following the literature of CG we can know the importance and influence of two dimensions on the interaction between shareholders and stakeholders → the first dimension concerns two different governance models:
- Outsider system modello di governance diffuso →
- Insider system → modello di governance concentrato.
The second dimension concerns the difference between regulation and self regulation. So, we can say that if an enterprise has a governance which is open to the sustainable finance it needs to play in two different playing fields:
- The first one is the field of the regulation → the legal system (quadro istituzionale e giuridico) and the regulatory framework.
- The second one is the field of the self regulation → it’s not enough the regulation but u need to overcome it and this means that to talk about sustainable finance it’s important the presence of the self regulation which can be for example: i codici aziendali che stabiliscono aspetti fondamentali-dimensioni specifiche in cui non entra la regulation esterna (come il codice aziendale che regola il rapporto dei lavoratori).
Quanto visto finora è un incipit fatto dal prof per farci capire il percorso che ci porta a parlare di sustainable finance (il contesto-perimetro di riferimento) e non lo troviamo da nessuna parte.
Se questo è il contesto-perimetro cerchiamo di capire cosa si intendeva per finanza etica quando si parlava di finanza etica e non si parlava di finanza sostenibile → in the picture we can see the three classical dimensions that we could find when they talked about the ethical finance.
The three dimensions of ethical finance
The three dimensions of ethical finance:
- Social and environmental goals.
- Financing of specific sectors.
- Compliance and CSR.
Social and environmental goals
1) Social and environmental goals → first of all we can say that the ethical finance is related to social and environmental goals (poverty, degradation, financial exclusion, defence of human rights, pollution, environmental protection and so on) → è chiaro che la finanza etica avesse a che fare con obiettivi sociali ed ambientali declinati in modo diverso e quindi abbiamo fatto qualche esempio.
But there wasn’t a specific directive which said that the ethical finance concerns these aspects and how (which parameters and directions) → there weren’t indications and prescriptions about that.
Financing of specific sectors
2) Financing of specific sectors → in the past when u approached the topic of the ethical finance you thought what in practice was selective finance in the sense that in finance there are selective investments according to exclusion or inclusion criterias, and you didn’t speak of ethical finance → per capire: se avessimo chiesto a qualsiasi manager 10 anni fa ci dicevano che la finanza etica era quella che consisteva nell’investire in certi settori invece che in altri → c’era di fatto che in questa presunta finanza etica ci sono settori che giudico etici in cui investo e settori non etici in cui operano imprese non etiche e quindi non ci investo (ex: arms, tobacco or alcohol industry are not ethical) → tutto sto tema della finanza etica poteva essere ricondotto invece al tema della finanza selettiva che seleziona investimenti o non investimenti in relazione ad un principio di eticità.
Qual era il punto? In this vision if u are able to make a difference between ethical and non ethical sectors with a judgement process in which you put in the investment decisions an ethical judgement and in this way u can make a distinction between ethical and non ethical investments which means a discrimination/distinction between an enterprise and another, so in this sense you put your sense of ethicality. (il prof dice che questa può essere chiamata meglio finanza selettiva → infatti, l’approccio più corretto sarebbe i’m not saying what is ethical or non ethical but simply saying that i’m investing in this and not in that, so the decision is your because you are the investor, but simply you tell me which are the sectors or the enterprises in which u prefer to invest, but you don’t put in an ethical judgement) → ma una finanza di questo tipo → crea un problema di distribuzione delle risorse e di ethicality nel tempo e nello spazio.
(Es: se dico che non investo nel settore delle armi, del tabacco o dell’alcol, ma allora devo pormi una domanda → non acquisto armi neanche per la difesa? gli agricoltori che sono viticoltori o coltivatori di tabacco che producono uva per vino e tabacco per sigarette non devono più vendere alcol e tabacco? → in questo senso non devono ricevere più finanziamenti? Quindi se mi fumo una sigaretta o bevo un bicchiere di vino a cena non è etico? in questo senso è un tema di dimensione e prospettiva che può cambiare nel tempo perché la dimensione cambia e cambia anche la prospettiva, ad esempio ciò che 30 anni fa poteva essere considerato etico non lo è più al giorno d’oggi → ad esempio se volessimo fare un esempio estremo la chiesa in passato condannava fortemente i contraccettivi, mentre oggi l’atteggiamento è diverso) → quindi, se un investitore come un fondo decide di investire finanziando settori non etici o etici non è rilevante nella nostra prospettiva che è finanziaria → in this sense we can define it just a selective finance because è la sensibilità etica del singolo investitore che guida le scelte d’investimento.
Quindi, questa seconda dimensione della finanza etica può essere definita più correttamente come una dimensione della finanza selettiva.
Compliance and CSR
3) Compliance and CSR (è più compliance che CSR) → compliance means respect of the rules and this one are regulations and self-regulations. So if u want to define urself financially ethical you need also to be compliance, and this means that u respect these rules (Ex: banks are compliant if they respect the regolamentar framework of Basilea, but also the MIFIDs and ) → è difficile essere etichettato ethical se non rispetti le regole, quindi anche se fai cose etiche come essere impegnato nel mondo del microcredito ma non rispetti le norme sull’antiriciclaggio, come fai a definirti compliant? la compliance è una dimensione e condizione necessaria per entrare nel perimetro dell’ethical finance ed anche della sustainable finance this is the reason why we can consider that as the first condition of ethicality (condizione prioritaria e necessaria per entrare nel mondo della finanza etica and also in the sustainable finance → if u are not compliant u can’t be considered financially ethical).
